These Terms and Conditions ("Terms") govern your use of our website, mobile applications (iOS and Android), and related services ("Services"). These Terms incorporate by reference Dawlati's Privacy Policy (available at www.dawlati.ae/privacy), which forms an integral part of this Agreement.
1.3 Eligibility
By using our Services, you confirm that you are at least 18 years old and capable of entering into legally binding agreements. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
2. DEFINITIONS
- Jobseeker: An individual seeking employment opportunities through Dawlati, typically an Emirati national seeking private sector employment.
- Employer: A company or individual using Dawlati to post job openings, search for candidates, or manage recruitment processes.
- Account: A unique profile created by a Jobseeker or an Employer on Dawlati to access its Services.
- Candidate Data: Personal information of Jobseekers that is shared with Employers through the platform, including but not limited to profiles, resumes, contact information, and application materials.
- Candidate Data: Personal information of Jobseekers that is shared with Employers through the platform, including but not limited to profiles, resumes, contact information, and application materials.
- Platform: The Dawlati website, mobile applications, and all related services and features.
3. ACCOUNT REGISTRATION
3.1 Account Creation
To use Dawlati, you must create an Account and provide accurate, complete, and up-to-date information. You must provide:
- Full legal name
- Valid email address
- Contact phone number
- For Jobseekers: Emirates ID verification
- For Employers: Company registration details and trade license information
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Using a strong, unique password and enabling two-factor authentication (where available)
3.3. Account Verification
We reserve the right to verify the information you provide during registration. For Jobseekers, this may include Emirates ID verification. For Employers, this may include verification of company registration and authorization to recruit on behalf of the company.
3.4. One Account Per User
Each user may maintain only one active Account. Multiple accounts by the same user may be suspended or terminated without notice.
4. USE OF SERVICES
4.1. Platform Purpose
Dawlati provides a platform to facilitate job matching based on skills, experience, preferences, and Emiratisation objectives. We act solely as a technology platform facilitating connections between Jobseekers and Employers and do not participate in or endorse specific employment offers.
4.2. Prohibited Activities
Users must not:
(a) Content Violations:
- Post false, misleading, or inaccurate information
- Share offensive, discriminatory, defamatory, or unlawful content
- Impersonate another person or entity
- Misrepresent qualifications, credentials, or company information
(b) Platform Misuse:
- Use the platform for purposes other than lawful recruitment or job-seeking
- Scrape, harvest, or collect user data through automated means
- Attempt to bypass security measures or access restrictions
- Reverse engineer or decompile any part of the platform
- Use the platform to distribute spam, malware, or malicious code
(c) Commercial Exploitation:
- Resell or redistribute access to the platform
- Use Candidate Data for purposes unrelated to recruitment
- Engage in unauthorized advertising or solicitation
(d) Abuse Reporting:
Users can report violations of these Terms, fraudulent activity, or abusive behavior by contacting care@dawlati.ae or using the in-platform "Report" function. We will investigate all reports and take appropriate action, which may include account suspension or termination.
4.3. Salary, Compensation, and Job Information Disclaimer
IMPORTANT NOTICE:
(a) Indicative Information Only:
Job postings on Dawlati may display salary ranges, expected compensation, benefits, or other financial information ("Salary Information"). All such information is provided by Employers and represents indicative, estimated, or expected values only.
(b) No Verification or Guarantee:
Dawlati does not verify, endorse, guarantee, or warrant the accuracy, completeness, or availability of any Salary Information or job descriptions displayed on the platform.
(c) Actual Compensation May Vary:
Actual compensation offered by Employers may differ significantly from displayed Salary Information based on:
- Candidate qualifications and experience
- Negotiation outcomes
- Company policies and budget constraints
- Market conditions and economic factors
- Job role modifications
(d) Not a Binding Offer:
Jobseekers acknowledge that Salary Information is for general guidance only and does not constitute a binding offer or commitment from either the Employer or Dawlati. Employment terms are subject to negotiation and final agreement between Jobseeker and Employer.
(e) Independent Verification:
Users should independently verify all job details, compensation, and employment terms directly with the Employer before accepting any position.
(f) No Liability:
Dawlati bears no responsibility for discrepancies between displayed Salary Information and actual compensation offered, negotiated, or agreed upon.
4.4. Matching Algorithm and Recommendations
(a) Automated Matching:
Dawlati uses automated algorithms, machine learning, and artificial intelligence to match Jobseekers with job opportunities and to recommend candidates to Employers.
(b) No Guarantee of Suitability:
These recommendations are based on information provided by users and various matching criteria but do not guarantee suitability, compatibility, or employment outcomes.
(c) Probabilistic Nature:
Algorithmic matching is probabilistic and may not capture all relevant factors in employment decisions, including cultural fit, soft skills, or interpersonal dynamics.
(d) User Responsibility:
Neither Jobseekers nor Employers should rely solely on Dawlati's matching recommendations when making employment-related decisions. Users must exercise independent judgment and conduct appropriate due diligence.
(e) Non-Deterministic:
Job recommendations and candidate suggestions may be generated using automated systems and do not constitute professional advice or guarantees of compatibility.
4.5. Platform Analytics and Insights
(a) Aggregated Data:
Dawlati may provide aggregated labor market data, hiring trends, salary benchmarks, and workforce analytics to Employers, government entities, and other stakeholders.
(b) Informational Purpose Only:
These insights are derived from platform data and are provided for informational purposes only. Dawlati does not warrant the accuracy, completeness, or reliability of any analytics or insights provided.
(c) No Professional Advice:
Platform analytics do not constitute professional HR consulting, legal advice, or investment recommendations. Users should consult appropriate professionals for specific guidance.
4.6. Platform Availability
(a) No Guarantee of Availability:
Dawlati does not guarantee uninterrupted, timely, secure, or error-free service. The platform may be unavailable due to maintenance, upgrades, technical issues, or circumstances beyond our control.
(b) Right to Modify:
We may suspend, modify, discontinue, or restrict access to any aspect of the Services at any time without liability, including features, pricing, or functionality.
(c) Scheduled Maintenance:
We will endeavor to provide advance notice of scheduled maintenance but are not obligated to do so.
4.7. Application Processing
(a) Facilitation Only:
Dawlati facilitates the transmission of job applications but does not guarantee that applications will be received, reviewed, considered, or result in interviews or employment offers.
(b) Employer Responsibility:
Employers are solely responsible for their candidate selection, interviewing, hiring processes, and all employment-related decisions.
(c) No Placement Guarantee:
Dawlati does not guarantee job placements, interview opportunities, or any specific employment outcomes.
5. EMPLOYER OBLIGATIONS
3.1. Account Creation
5.1. Accurate Job Postings
Employers must ensure job postings are:
- Accurate, complete, and up-to-date
- Lawful and compliant with UAE labor regulations
- Free from discriminatory language or requirements
- Reflective of actual available positions
5.2. Compliance with UAE Labor Laws
Employers must comply with:
- UAE Federal Labor Law
- UAE Data Protection Law (Federal Decree-Law No. 45 of 2021)
- All applicable employment and labor regulations
- Emiratisation requirements (Federal Decree-Law No. 6 of 2021)
5.3. Data Processing Agreement
(a) Mandatory Acceptance:
Before accessing Candidate Data, Employers must accept Dawlati's Data Processing Agreement (DPA), which governs how Employers may use personal data received through the platform.
(b) Independent Controller:
Employers acknowledge they become independent data controllers upon receiving Candidate Data and are solely responsible for compliance with UAE Data Protection Law in their processing of such data.
(c) Incorporation by Reference:
The DPA (available at www.dawlati.ae/dpa) is incorporated into these Terms by reference.
5.4. Emiratisation Compliance
(a) Independent Obligations:
Employers using Dawlati acknowledge their independent obligations under UAE Federal Decree-Law No. 6 of 2021 on Emiratisation in the Private Sector and any related regulations, ministerial decisions, or cabinet resolutions.
(b) Facilitation, Not Guarantee:
Dawlati facilitates connections with Emirati talent but does not guarantee Emiratisation quota compliance, specific hiring outcomes, or fulfillment of regulatory obligations.
(c) Employer Responsibility:
Employers remain solely responsible for:
- Meeting all Emiratisation reporting requirements
- Achieving applicable quota obligations
- Compliance with MOHRE (Ministry of Human Resources & Emiratisation) regulations
- Timely submission of all required documentation to authorities
(d) Platform Data:
Data generated on the Dawlati platform (such as Emirati candidate views or applications) may be shared with relevant government entities but does not substitute for Employers' independent reporting obligations.
5.6. Marketing & Publicity Rights(a) Use of Employer Branding:
By creating an Employer account, participating in a pilot program, or otherwise engaging with Dawlati’s Services, the Employer grants Dawlati a non-exclusive, worldwide, royalty-free right to use the Employer’s name, logo, and brand assets for marketing, promotional, and commercial purposes. This includes, but is not limited to, use on Dawlati’s website, presentations, investor materials, social media, and other promotional channels.
(b) Scope of Use:
Such use may include identifying the Employer as a customer, partner, or participant in Dawlati’s platform, including during pilot or trial phases.
(c) Right to Opt-Out:
Employers may request removal of their name or logo from Dawlati’s marketing materials at any time by providing written notice to care@dawlati.ae. Dawlati will use reasonable efforts to comply within a commercially reasonable timeframe.
(d) No Implied Endorsement:
Nothing in this clause shall be interpreted as an endorsement, partnership, or joint venture beyond the Employer’s use of Dawlati’s Services.
5.5. Enforcement
Dawlati is not responsible for verifying the accuracy of Employer-provided information and reserves the right at any time, without warning, and without compensation therefore, to exclude from further use of this platform any Employer who in Dawlati's sole opinion has violated Sections 5.1, 5.2, 5.3, or 5.4 above.
6. JOBSEEKER OBLIGATIONS
6.1. Accurate Information
Jobseekers must provide accurate and truthful information in their profiles, resumes, and applications, including but not limited to:
- Educational qualifications and certifications
- Employment history and experience
- Skills and competencies
- Contact information
- Nationality and Emirates ID details (where applicable)
6.2. Prohibited Conduct
Jobseekers are prohibited from:
- Submitting fraudulent credentials or forged documents
- Misrepresenting qualifications or experience
- Misleading employers about availability or intentions
- Using the platform for purposes other than genuine job seeking
6.3. No Guarantee of Employment
Jobseekers acknowledge that:
- Dawlati does not guarantee job placements or specific employment outcomes
- Dawlati acts solely as a technology platform facilitating connections
- Employment decisions rest entirely with Employers
- Success depends on qualifications, market conditions, and Employer needs
6.4. Emirati National Status
(a) Verification Requirement:
Jobseekers representing themselves as Emirati nationals must provide accurate nationality information and may be required to provide verification through Emirates ID or other government-issued documentation.
(b) Consequences of Misrepresentation:
Misrepresentation of nationality status:
- May result in immediate account termination
- May be reported to relevant UAE government authorities
- May disqualify the user from future use of the platform
- May result in legal consequences under UAE law
(c) Platform Integrity:
Accurate nationality information is essential for maintaining the integrity of the platform and supporting UAE Emiratisation objectives.
6.5. Enforcement
Dawlati reserves the right at any time, without warning, and without compensation therefore, to exclude from further use of this platform any Jobseeker who in Dawlati's sole opinion has violated Sections 6.1, 6.2, or 6.4 above.
7. FEES AND PAYMENTS
7.1. Service Tiers
Dawlati offers free and premium services for both Jobseekers and Employers. Specific terms for paid services, including features, limitations, and pricing, are provided at the time of purchase or subscription.
7.2. Payment Terms
- All fees must be paid in advance unless otherwise specified
- Fees are stated in UAE Dirhams (AED) unless otherwise indicated
- Payment is processed through secure third-party payment processors
- You authorize us to charge your designated payment method
7.3. Refund Policy
Fees are non-refundable unless:
- Expressly stated otherwise in writing
- Required by applicable consumer protection law
- We terminate your account due to our error or platform malfunction
- We discontinue a paid service without providing reasonable alternative
7.4. Price Changes
We reserve the right to modify pricing for our services at any time. Changes to subscription pricing will be communicated at least 30 days in advance and will take effect at the next renewal period.
7.5. Taxes
Fees do not include applicable taxes (including VAT). You are responsible for all taxes associated with your use of paid services.
8. DATA PRIVACY AND PROTECTION

Users must read and agree to our Privacy Policy, which forms an integral part of these Terms. By creating an Account, you acknowledge that Dawlati may send you communications as described in the Privacy Policy, and you can opt out of marketing communications at any time.
8.3. User Warranties Regarding Data
Users warrant that:
- All information they submit is lawful, accurate, and does not infringe on the rights of others
- They have the legal right to provide any personal data disclosed to Dawlati
- They have obtained necessary consents to share any third-party information (such as references or recommendation letters)
- Any uploaded documents do not contain malware, viruses, or malicious code
8.4. Data Usage
Users agree that their data may be used for purposes related to the platform's functionality, including:
- Job matching and candidate recommendations
- Analytics and insights generation (aggregated and anonymized)
- Compliance with legal obligations
- Communication regarding platform services
- Any other purpose provided for by applicable law or described in the Privacy Policy
8.5. Government Data Sharing
Users acknowledge that Dawlati may share aggregated, anonymized data with UAE government entities (including MOHRE and FCSC) to support national workforce planning and Emiratisation policy development, as described in our Government Data Sharing Framework (available at www.dawlati.ae/government-framework).
9. INTELLECTUAL PROPERTY
9.1. Dawlati's Intellectual Property
The Dawlati platform and its content, including but not limited to logos, designs, text, graphics, software, algorithms, trademarks, and service marks, are protected by intellectual property laws of the UAE and international treaties.
9.2. License to Use
Subject to these Terms, Dawlati grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. This license does not include any right to:
- Reproduce, distribute, or create derivative works
- Modify, reverse engineer, or decompile the platform
- Remove or alter any proprietary notices
- Use the platform for any commercial purpose not expressly authorized
9.3. User-Generated Content
(a) Ownership:
You retain ownership of content you upload to Dawlati (such as resumes, profiles, job postings).
(b) License to Dawlati:
By uploading content, you grant Dawlati a worldwide, non-exclusive, royalty-free license to use, reproduce, process, adapt, publish, and display such content for the purposes of:
- Operating and improving the platform
- Providing services to you and other users
- Generating anonymized analytics and insights
- Complying with legal obligations
(c) Responsibility for Content:
You are solely responsible for all content you upload. You must not upload content that:
- Infringes on any third party's intellectual property, privacy, or other rights
- Contains false, misleading, or defamatory information
- Violates any applicable law or regulation
9.4. User Indemnification for IP Infringement
All users, by consenting to use the Dawlati platform or any of Dawlati's services, hereby confirm that any material they have uploaded or provided to the Dawlati platform contains no material that infringes the intellectual property of any third party and hereby indemnify Dawlati against any claims for infringement brought by any such third party.
9.5. Copyright Infringement Claims
If you believe content on Dawlati infringes your copyright, please contact us at care@dawlati.ae with:
- Description of the copyrighted work
- Location of the infringing material on the platform
- Your contact information
- Statement of good faith belief that use is unauthorized
- Statement that the information is accurate and you are authorized to act
10. DISCLAIMERS AND LIMITATIONS OF LIABILITY
10.1. "As Is" Service
Dawlati provides its Services "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.
10.2. No Warranty Regarding:
(a) Platform Functionality:
- Continuous, uninterrupted, or secure access
- Error-free operation or defect correction
- Compatibility with your devices or software
- Availability of specific features or functions
(b) Content Accuracy:
- Accuracy, completeness, or truthfulness of job postings, company information, or employer credentials
- Accuracy of Jobseeker qualifications, work history, certifications, or skills
- Current availability of posted job opportunities
- Legitimacy or legal status of Employers using the platform
- Authenticity of user-provided documents or credentials
(c) Salary and Compensation Information:
- Any salary ranges, benefits, or job descriptions displayed on Dawlati are provided by Employers and are indicative only
- Dawlati does not verify or guarantee their accuracy
- Users should independently confirm such details before entering employment
(d) Matching and Recommendations:
- Accuracy or suitability of algorithmic job matches or candidate recommendations
- Success or outcomes of job applications or recruitment processes
(e) Third-Party Content:
- Content, products, or services of third parties linked from the platform
- Actions or omissions of other users
10.3. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW:
(a) Exclusion of Damages:
Dawlati shall not be liable for any special, indirect, incidental, consequential, punitive, or economic loss or damage, including but not limited to:
- Loss of profit or revenue
- Loss of opportunity or business
- Loss of data or information
- Loss of goodwill or reputation
- Cost of substitute services
(b) Specific Exclusions:
Dawlati is not responsible or liable for:
- Errors, omissions, or inaccuracies in job postings or user profiles
- Employment decisions made by Employers or Jobseekers
- Damages to Employers and/or Jobseekers resulting from employment decisions
- Outcomes of job applications or recruitment processes
- Technical interruptions, system failures, or data loss
- Impact of viruses, malware, or security breaches (despite our security measures)
- Actions or omissions of third-party service providers
- Any claims by third parties against Employers and/or Jobseekers arising out of their wrongful use of the Dawlati platform
- Conduct of other users, whether online or offline
- Unauthorized access to or alteration of your transmissions or data
(c) Cap on Liability:
Dawlati's total aggregate liability for any claims arising from or related to these Terms or your use of the Services shall not exceed the amount you have paid to Dawlati in the 12 months preceding the claim, or AED 1,000, whichever is less.
(d) User Acknowledgment:
Users acknowledge that they access and use the Services at their own risk and are solely responsible for conducting appropriate due diligence before making employment-related decisions.
10.4. Basis of the Bargain
You acknowledge that Dawlati has set its prices and entered into these Terms in reliance upon the disclaimers and limitations of liability set forth herein, that the same reflect an allocation of risk between the parties, and that the same form an essential basis of the bargain between the parties.
11. INDEMNIFICATION
11.1. User Indemnification Obligation
Users agree to indemnify, defend, and hold harmless Dawlati FZCO LLC, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:
(a) Your use or misuse of the Services
(b) Your violation of these Terms
(c) Your violation of any rights of another party, including other users
(d) Your violation of any applicable laws or regulations
(e) Content you upload, post, or transmit through the Services
(f) Employment decisions you make based on platform use
(g) Your breach of any representation, warranty, or covenant in these Terms
(h) Any claims by third parties related to your use of the platform or Candidate Data
11.2. Scope of Indemnification
This indemnification includes:
- Any costs to defend against third-party claims brought or threatened to be brought in court or similar tribunal
- The right of subrogation, cross-claim, countersuit, or similar procedural relief as necessary to give effect to this indemnification
- All settlement costs and related legal fees
11.3. Defense of Claims
Dawlati reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Dawlati in asserting any available defenses.
12. TERMINATIONS
12.1. Termination by Dawlati
Dawlati, at its sole discretion, reserves the right to:
(a) Suspend or terminate accounts without prior notice for:
- Violations of these Terms
- Fraudulent, abusive, or illegal activity
- Breach of the Data Processing Agreement (for Employers)
- Misrepresentation of identity, qualifications, or company information
- Conduct that harms or may harm Dawlati or other users
- Inactivity for an extended period (typically 24 months)
(b) Remove content that violates these Terms or applicable law
(c) Discontinue the Services entirely or in specific regions
12.2. No Refunds Upon Termination
In cases where violations result in account deactivation or termination, users will not be entitled to a refund for any paid services, unused subscription periods, or premium features.
12.3. Termination by Users
Users may terminate their accounts at any time by:
- Using the account deletion function in account settings
- Contacting Dawlati support at care@dawlati.ae with a termination request
- No refunds will be provided for unused portions of paid services unless expressly required by law.
12.4. Effect of Termination
Upon termination:
(a) All rights granted to you under these Terms will immediately cease
(b) You must immediately discontinue all use of the Services
(c) For Employers: All obligations under the Data Processing Agreement survive termination, including data deletion requirements
(d) For Jobseekers: Your profile will be removed from employer search results
(e) Certain provisions of these Terms survive termination, including Sections 9 (Intellectual Property), 10 (Disclaimers), 11 (Indemnification), 13 (Governing Law), and this Section 12.4
12.5. Data Retention After Termination
Following account termination:
- We may retain certain data as required by law or for legitimate business purposes (e.g., fraud prevention, accounting)
- Employers must delete Candidate Data per the Data Processing Agreement
- Anonymized, aggregated data may be retained indefinitely
13. GOVERNING LAW AND DISPUTE RESOLUTION
13.1. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Emirate of Sharjah and the Federal laws of the United Arab Emirates, without regard to conflict of law principles.
13.2. Jurisdiction
Any disputes or claims arising out of or related to these Terms, the Privacy Policy, or your use of the Services shall be submitted to the exclusive jurisdiction of the courts of the Emirate of Sharjah. Users hereby submit to any service of process issued by said courts.
13.3. Waiver of Jury Trial
To the extent permitted by law, both parties waive any right to a jury trial in connection with any action or litigation in any way arising out of or related to these Terms.
13.4. Dispute Resolution Procedure (Optional)
Before initiating formal legal proceedings, parties are encouraged to:

- Engage in good faith negotiations for 30 days
- Consider mediation through an agreed-upon neutral mediator
- This procedure is voluntary and does not waive any party's right to pursue litigation.
14. AMENDMENTS AND UPDATES

Dawlati reserves the right to modify, amend, or update these Terms at any time to reflect:
- Changes in applicable laws or regulations
- New features or services
- Security or privacy enhancements
- Clarifications or improvements to existing terms
- Feedback from users or regulatory guidance
14.2. Notice of Material Changes
When material changes are made:
- We will notify you via email to your registered email address
- We will post a prominent notice on the platform
- We will update the "Last Updated" date at the top of these Terms
- We will provide at least 30 days' notice before changes take effect (except for urgent legal or security changes)
14.3. Acceptance of Changes
Your continued use of the Services after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Services and may terminate your account as described in Section 12.3.
14.4. Version Control
Each version of the Terms is assigned a version number and effective date. Previous versions are archived and available upon request to care@dawlati.ae.
15. GENERAL PROVISIONS
15.1. Entire Agreement
These Terms, together with the Privacy Policy and (for Employers) the Data Processing Agreement, constitute the entire agreement between you and Dawlati regarding the Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral.
1.2. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction:
- That provision will be modified to the minimum extent necessary to make it valid and enforceable
- If modification is not possible, the provision will be severed
- All other provisions will remain in full force and effect
15.3. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Dawlati's failure to assert any right or provision under these Terms does not constitute a waiver of such right or provision.
15.4. Assignment
(a) By Users:

(b) By Dawlati:
Dawlati may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets.
15.5. No Third-Party Beneficiaries
These Terms are for the benefit of, and will be enforceable by, the parties only. These Terms are not intended to confer any right or benefit on any third party.
15.6. Force Majeure
Dawlati shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to:
- Acts of God, natural disasters, or severe weather
- War, terrorism, civil unrest, or government action
- Labor disputes or strikes
- Internet or telecommunications failures
- Cyberattacks or security incidents
- Epidemics or pandemics

(a) Authoritative Version:
These Terms are originally drafted in English. If these Terms are translated into other languages (including Arabic), the English version shall prevail in the event of any conflict or ambiguity.
